ClassAct Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of the ClassAct Technologies Inc. ("ClassAct," "we," "us," or "our") website, mobile application, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent that you meet these eligibility requirements.

3. No Legal Advice; Not a Law Firm

ClassAct is a technology company, not a law firm. The Services are provided solely for operational and informational purposes to assist plaintiff-side law firms with case management, intake, and communication. Nothing within the Services constitutes legal advice, and no attorney-client relationship is formed between ClassAct and any user, firm, or plaintiff. Users should seek legal counsel for any legal questions or advice.

4. Accounts and Security

You may need to create an account to access certain features. You agree to provide accurate, current information and maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account. Notify us immediately at support@classact.app if you suspect unauthorized access.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Upload or distribute malicious software, spam, or harmful content.
  • Access, modify, or use any portion of the Services without authorization.
  • Interfere with or disrupt the integrity, security, or performance of the Services.

6. Subscription and Fees

Certain features are available only through paid subscriptions under separate SaaS agreements. Subscription terms, billing cycles, and renewal provisions are governed by those agreements. All payments are nonrefundable except as required by law.

7. Intellectual Property

All intellectual property rights in the Services, including software, graphics, user interfaces, and documentation, are owned by ClassAct or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for authorized firm or plaintiff case management purposes. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Services.

8. Third-Party Content and Links

The Services may display, link to, or otherwise make available content, information, offers, or services provided by third parties, including law firms, claims administrators, advertisers, partners, and other websites or platforms (collectively, "Third-Party Content"). Third-Party Content is provided solely as a convenience and for informational purposes, and ClassAct does not control, endorse, sponsor, recommend, or assume any responsibility for any Third-Party Content or for any third party's products, services, information, practices, privacy policies, or terms.

You acknowledge and agree that: (a) any interactions, communications, or transactions you have with third parties, including those you may contact or engage through the Services, are solely between you and those third parties; (b) ClassAct has no obligation to screen, monitor, or maintain any Third-Party Content; and (c) ClassAct makes no representations or warranties regarding the accuracy, completeness, timeliness, legality, or quality of any Third-Party Content, and any reliance on such content is at your sole risk.

ClassAct may add, modify, remove, or disable access to any Third-Party Content or links at any time, for any reason, without notice.

9. User Content

You retain ownership of all content, documents, and data you upload ("User Content"). By submitting User Content, you grant ClassAct a limited license to host, process, and transmit such content solely for the purpose of providing and improving the Services. You represent that you have all necessary rights to share and upload the User Content.

10. Service Availability and Updates

We strive to maintain reliable and secure Services, but we do not guarantee uninterrupted access. We may modify, update, or discontinue portions of the Services at any time, with or without notice, to improve performance, security, or user experience.

11. Limitation of Liability

To the maximum extent permitted by law, ClassAct and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising out of or related to your use of the Services. ClassAct's total liability for any claim will not exceed the amount paid, if any, for access to the Services during the six (6) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless ClassAct and its officers, directors, and employees from and against any claims, damages, liabilities, costs, or expenses arising from your use of the Services or violation of these Terms.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute, claim, or controversy arising out of or related to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware and be conducted in English. You waive the right to participate in any class or representative action.

14. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if continued access would pose a risk to other users or to ClassAct. Upon termination, your right to use the Services ceases immediately.

15. Changes to These Terms

We may update these Terms periodically. The updated version will be effective upon posting to our website, with the date noted above. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
